1. What Archive Equity does

Archive Equity helps businesses sell or license their everyday business records to companies that build AI tools. We work for the seller. We do not buy data ourselves.

Using the website, getting an estimate or having an introductory call does not make us your agent or representative. That relationship begins only when you and we sign a written engagement agreement. The signed agreement sets out what we will do for you, how we are paid and what each side is responsible for, and it controls if anything in these terms conflicts with it.

2. Estimates

The estimate tool gives an automated, indicative range based only on your answers and our general view of the market. It is not an offer to buy, an appraisal, a valuation or a promise of any price. Actual offers depend on what your records contain, your right to share them, how they need to be prepared, and what buyers are looking for at the time. Offers may be higher or lower than your estimate, and some businesses will not receive an offer.

We may change how the estimate is calculated at any time.

3. No legal, tax or financial advice

Archive Equity is not a law firm, accounting firm, or financial or investment adviser, and nothing on the website or in our conversations is legal, tax, accounting, privacy or investment advice. Whether your company can license its records may depend on customer contracts, software license terms, privacy and health-information laws, professional confidentiality rules and export controls. You should get advice from your own advisers before signing any deal.

4. What you agree to

• The information you give us is accurate and you will keep it up to date.
• You are authorized to act for the company you name, or you have that company’s permission to ask about it.
• You will not submit anyone else’s personal information without their permission.
• You will not send us passwords, logins or actual records (such as patient, client or employee files) through the website or by email. If a deal moves forward, we will arrange a secure process.
• You are responsible for making sure your company has the right to share or license any records it offers. We can help you identify questions to ask, but the decision and the rights are yours.

5. Buyers and partner platforms

By submitting the estimate form, you allow us to share a profile of your business with prospective data buyers and partner platforms to request quotes and offers for your business, as described in our Privacy Policy. We will check with you before sharing your contact details with any of them.

If you choose to work with a buyer or partner platform we introduce, your relationship with them is governed by their own terms. We do not control and are not responsible for their decisions, offers, payments, conduct or how they handle your information. Some partner platforms pay us a referral fee for introductions.

You are never required to accept an offer, and no agreement to sell or license your records is binding until you sign it. Submitting the form or sharing your business profile does not license anything.

Before you sign, keep in mind that once records have been delivered and used to train an AI model, they generally cannot be taken back out of that model. Your signed agreement will set out what the buyer may and may not do with your records.

Records are de-identified by third-party providers under the terms of your signed agreement before they are delivered. De-identification greatly reduces the risk that a person can be identified, but no method removes that risk completely.

6. Fees

The website, the estimate and introductory calls are free. You do not owe us anything unless you sign a written agreement that says so. If you engage us to represent you, our fee is set out in that agreement and is paid only when a deal closes.

7. Emails, calls and texts

When you submit the estimate form, you agree that we may contact you by email, and by phone at the number you give us, about your estimate and related services. We will only text you if you tick the box to receive texts. You can ask us to stop at any time.

Text messages. If you tick the box to receive texts, you agree that Archive Equity may send text messages about your estimate, scheduling and next steps to the number you gave us, including messages sent using automated technology. Consent is not a condition of any purchase or service. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time, and HELP for help, or contact hello@archiveequity.com or +1 (409) 204-5492. Mobile carriers are not liable for delayed or undelivered messages.

8. Using the website

You may use the website for its intended purpose: learning about our services and requesting an estimate. You agree not to:

• submit false or misleading information, or submit the form on behalf of someone else without their permission;
• use bots, scrapers or other automated means to access the website or the estimate tool;
• try to reverse-engineer, copy or resell the estimate tool or its results;
• interfere with the website’s security or operation, or use it for anything unlawful.

The website’s content, design, name and logo belong to us or our licensors. You may view and print pages for your own business use, but you may not copy or republish them without our permission.

The website may link to other companies’ websites and tools, such as our scheduling page. We are not responsible for their content or practices.

9. Disclaimers

The website, the estimate tool and their content are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the website will be uninterrupted or error-free, or that any buyer will make an offer or complete a deal.

10. Limitation of liability

To the fullest extent the law allows, Archive Equity and Slightly Wiser LLC, and their owners, employees and agents, will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the website, the estimate tool, or any introduction we make, even if we were told such damages were possible. Our total liability for any claim relating to the website or these terms will not exceed one hundred US dollars ($100).

This section does not limit anything in a signed engagement agreement between you and us, which has its own terms, and it does not limit liability that cannot be limited by law.

11. Indemnity

You agree to defend and indemnify Archive Equity and Slightly Wiser LLC against claims, losses and costs (including reasonable legal fees) arising from your breach of these terms, information you submit that you were not entitled to share, or your misuse of the website.

12. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute relating to these terms or the website will be brought only in the state or federal courts located in Harris County, Texas, and you and we consent to those courts’ jurisdiction.

13. General

We may update these terms from time to time by posting a new version on this page and changing the “Last updated” date. Changes apply from the date they are posted and do not affect any signed agreement. If any part of these terms is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours as part of a sale or reorganization of our business. These terms and our Privacy Policy are the whole agreement between you and us about the website, unless we sign something else.
